Agreement

Advanced Management Systems, Inc. (AMS) hereby grants a one-year license for this Product to the Licensee, for use on a single computer at a single business site.

 

The Licensee may terminate this Agreement at any time by destroying the Product and all copies of the Product. This license will be terminated if the Licensee fails to comply with any term or condition of this Agreement. Upon such termination, the Licensee agrees to destroy the Product and all copies of the Product in any form.

 

The license may be renewed at the end of a valid license period for an additional one-year period. If the license is not renewed, Licensee agrees to discontinue the use of the Product, and the Licensee agrees to destroy the Product and all copies of the Product in any form.

 

AMS retains ownership of the Product. The Licensee assumes the responsibility for the selection of the Product to achieve the intended results, and for the installation, use and results obtained from the Product.

 

The Licensee may:

1. Install the Product for use on a maximum of one Single-User computer (node) at one business site.

2. Copy the Product into any machine-readable form for backup purposes in support of the Product on a maximum of one node at a single business site.

3. Transfer the Product and License to another person employed by the same organization if that other person agrees to accept the terms and conditions of this Agreement. All printed and machine-readable copies must be transferred to that person. All copies not transferred must be destroyed.

4. The licensee may not copy or transfer the product, in whole or in part, except as expressly provided for in this agreement.

 

If any copy of this product is transferred to the possession of another party, this license agreement is automatically terminated.

 

Limitation

In no event will AMS be liable for any damages, including any lost profits, lost savings or other incidental or consequential damages arising out of the licensee’s use or inability to use the Product, even if AMS has been advised of the possibility of such damages, or for any claim by any other party. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages in which case this limitation may not apply.
